Operator, agreement and precedence
AdsXpo is an independently developed advertising technology platform currently incubated and operated under licence by BiznesXpo. BiznesXpo provides contracting, billing, infrastructure, verification administration and customer-support operations during this incubation stage.
The specific BiznesXpo legal entity contracting with you will be identified in your order form, service agreement, invoice or payment instruction. These Terms, the Privacy Policy, any data-processing terms, your order form and any platform-specific instructions together form the agreement. A signed commercial document takes priority if it expressly conflicts with these Terms.
You confirm that you are at least 18 years old and have authority to bind the business, agency, advertiser or other organisation you represent. References to ‘you’ include that organisation and every authorised user acting through its workspace.
Accounts, authority and workspace responsibility
You must provide complete, accurate and current identity, company, beneficial-owner, billing and contact information. We may require verification before enabling accounts, funding, withdrawals, higher limits or other risk-sensitive features.
You are responsible for protecting credentials, enabling appropriate security controls, reviewing user access, removing former team members and all activity carried out through your workspace except to the extent caused solely by our proven breach of this agreement. You must notify us promptly of suspected compromise or unauthorised use.
You may only request, connect, fund or manage advertising accounts, business managers, business centres, organisations, pages, pixels, catalogues, domains, payment methods and other assets that you own or are expressly authorised to administer. You must be able to provide evidence of that authority on request.
Your campaigns and advertiser obligations
You, not AdsXpo, are the advertiser and publisher responsible for every campaign instruction, audience, bid, budget, claim, offer, product, service, landing page, domain, creative asset, video, image, trademark, testimonial, disclosure, promotion and data source supplied through your account.
You must ensure that your activities are lawful, accurate, substantiated, non-deceptive, appropriately targeted and compliant with all applicable advertising, consumer-protection, privacy, intellectual-property, anti-spam, financial-promotion, product-safety, sector-specific and platform rules. You must obtain all licences, permissions, consents and notices required for customer lists, tracking technologies, custom audiences and personal data.
You must independently review campaigns before launch and monitor them while active. Any assistance, templates, automated checks, account recommendations or operational support we provide do not transfer your responsibility or amount to legal, regulatory, financial or marketing-performance advice.
Prohibited and restricted activity
You must not use AdsXpo for unlawful, fraudulent, deceptive, infringing, abusive, discriminatory or harmful activity; impersonation; account trafficking; platform-enforcement evasion; cloaking; malicious software; unauthorised surveillance; misleading investment or earnings claims; illegal gambling; exploitation; sanctions evasion; money laundering; terrorist financing; or products and services prohibited by applicable law or a connected provider.
Regulated or higher-risk categories—including financial services, healthcare, medicines, alcohol, political or issue advertising, gambling, dating, employment, housing, credit, cryptocurrency, age-restricted products and claims involving health, income or guaranteed outcomes—may require additional documentation, restrictions or prior approval. Availability in the interface does not mean that a category is lawful or approved in your country.
You must not test security without written permission, scrape or reverse engineer protected parts of the service, introduce harmful code, overload systems, bypass access controls, misuse another customer’s data or use AdsXpo to obtain unauthorised access to any third-party account.
Advertising platforms and third parties
AdsXpo is an independent operational layer and is not Meta, Google, TikTok, Snapchat, X, LinkedIn or any other advertising platform. We do not control their eligibility rules, identity checks, account approvals, delivery systems, auction outcomes, spend reporting, policy enforcement, suspensions, reversals, data availability or service interruptions.
Connected advertising, payment, banking, foreign-exchange, identity, cloud and communications providers operate under their own terms and privacy notices. You authorise us and approved providers to submit information and instructions to them as reasonably necessary to deliver the features you request.
A provider may reject, delay, restrict or suspend an account or transaction without advance notice. We are not liable for a provider decision, outage, policy change, reporting discrepancy or account restriction that we did not cause, although we may assist with reasonable escalation where available.
Access identifiers, landing pages and creative assets
Business Manager IDs, Business Portfolio IDs, Business Center IDs, Organisation IDs, account emails and access invitations must be accurate and belong to an authorised party. You are responsible for invitations sent to the wrong address or identifier and for revoking access no longer required.
Links to landing pages, files, folders, logos, images, videos and other assets must be safe, accessible, properly licensed and suitable for the intended campaign. You must not submit credentials, secrets, private keys or sensitive personal information through URL fields or public share links.
We may preview, scan, cache limited metadata from or refuse links for safety, support and policy-review purposes. You remain responsible for the destination, content and permissions, including any changes made after a link is submitted.
Funding, fees, taxes and foreign exchange
You must pay the campaign funding amount, processing fees, commission, taxes, chargebacks, provider costs and other charges shown before confirmation or stated in your order form. Fees may vary by currency, payment method, provider, account type, jurisdiction and risk review.
The amount credited for advertising spend may be lower than the total amount paid because processing fees, commission, taxes or foreign-exchange costs may be shown separately. You must review the funding summary before authorising payment. Confirmed fee records remain applicable even if our standard rates later change.
Payments may appear under the beneficiary name BiznesXpo or the applicable BiznesXpo legal entity. Use only the beneficiary details and unique reference displayed in your authenticated workspace or invoice. You bear loss caused by sending funds to unverified details, using an incorrect reference, paying from an unauthorised source or failing required compliance checks.
You are responsible for your own taxes and reporting obligations. Indicative exchange rates are not guaranteed until a provider completes conversion or settlement. Bank, intermediary and card-provider deductions may reduce the received amount.
Balances, settlement, reserves and refunds
Dashboard balances and Ad Spend Account records are operational ledger entries, not bank deposits, stored value or bank statements. Amounts may be pending, reserved, restricted, converted, allocated, spent, refunded or unsettled and may temporarily differ from provider records.
We may hold, delay, reject, reverse, offset or request information about a funding, refund or withdrawal instruction where reasonably necessary for fraud prevention, sanctions screening, ownership verification, chargeback exposure, provider rules, dispute resolution or applicable law.
Advertising spend already delivered, third-party charges, conversion costs, taxes and non-refundable provider fees are not refundable merely because a campaign underperforms, an account is restricted or you change your instructions. Any discretionary refund is subject to source-of-funds checks and may be returned only to the original payer or another verified destination.
Monitoring, investigations and protective action
We may use automated and manual controls to detect suspicious sign-ins, abusive requests, unusual funding, policy-risk indicators, compromised sessions and unauthorised administrative changes. These controls support risk reduction and may produce false positives.
Where reasonably necessary, we may request evidence, delay provisioning, limit features, pause campaigns, reject content, freeze operational balances, revoke sessions, suspend users, preserve records or disclose information to a provider, bank, regulator or law-enforcement authority in accordance with applicable law.
We are not required to monitor every campaign or discover every violation. A review, approval, category selection or absence of intervention is not an endorsement or confirmation of legal compliance.
Customer warranties
You warrant on an ongoing basis that: you have authority to enter the agreement and issue every instruction; information you provide is accurate; your campaigns and assets do not violate law, third-party rights or provider rules; you have a lawful basis and required consent for personal data; funds are from legitimate sources; and you will not use the service to evade restrictions or mislead any provider.
You also warrant that claims made in your advertisements and landing pages can be substantiated, required disclosures are clear, and any client on whose behalf you act has authorised the campaign, budget, data use and access arrangements.
Indemnity
To the fullest extent permitted by law, you will defend, indemnify and hold harmless AdsXpo, the applicable BiznesXpo contracting entity, their affiliates, licensors, directors, officers, employees, contractors and approved service providers from third-party claims, regulatory enquiries, fines, penalties, chargebacks, losses, damages and reasonable professional costs arising from your campaigns, products, services, content, landing pages, data, targeting, instructions, breach of these Terms, infringement of rights or unlawful activity.
This indemnity does not apply to the extent a final decision determines that the loss was caused solely by the indemnified party’s fraud, wilful misconduct or liability that cannot lawfully be excluded. We will give reasonable notice of a covered claim where practicable, and you may not settle it in a way that admits liability for or imposes obligations on us without written consent.
Intellectual property and customer content
AdsXpo software, interfaces, documentation, workflows, brands and product materials are owned by their respective owner or licensors. Except for the limited right to use the service during your subscription, no intellectual-property rights are transferred to you.
You retain ownership of content and business information you submit. You grant the operator and its providers a non-exclusive, worldwide licence to host, reproduce, transform, transmit, display, scan and otherwise process that material only as necessary to provide, secure, support and improve the service, comply with instructions and meet legal obligations.
Feedback may be used without restriction or payment provided we do not publicly identify you as its source without permission.
Confidentiality and data protection
Each party must protect the other party’s non-public business, technical and commercial information using reasonable safeguards and use it only for the agreement. Confidentiality does not cover information lawfully known, independently developed, publicly available without breach or required to be disclosed by law.
Personal information is handled under the Privacy Policy and any applicable data-processing agreement. Where you upload or connect personal data for clients or audiences, you are responsible for providing required notices, responding to data-subject requests and documenting lawful instructions unless a written agreement allocates a task differently.
Availability, changes and beta features
We aim to provide a reliable service but do not guarantee uninterrupted or error-free availability. Maintenance, security incidents, provider outages, internet failures, legal requirements and force-majeure events may affect access.
We may update features, limits, integrations and interfaces. Material reductions to paid core functionality will be handled in accordance with the applicable commercial agreement. Preview, beta, demo and experimental features may be changed or withdrawn and are provided without service-level commitments unless expressly agreed otherwise.
Disclaimers and no performance guarantee
To the fullest extent permitted by law, AdsXpo and the service are provided on an ‘as available’ basis without implied warranties of merchantability, fitness for a particular purpose, non-infringement or that any campaign will achieve a particular approval, reach, conversion, return on ad spend, revenue or business outcome.
Forecasts, dashboards, automated classifications, fee estimates, platform status indicators and reports may contain delays or inaccuracies and must not be your sole basis for financial, legal or operational decisions. You should reconcile material figures against invoices, payment-provider statements and the relevant advertising platform.
Limitation of liability
Nothing in these Terms excludes liability that cannot lawfully be excluded, including liability for fraud or fraudulent misrepresentation and any mandatory consumer rights that apply despite the business nature of the service.
To the fullest extent permitted by law, AdsXpo, the applicable BiznesXpo entity and their affiliates will not be liable for indirect, incidental, special, exemplary, punitive or consequential loss; loss of profit, revenue, opportunity, goodwill, data or anticipated savings; provider suspensions; campaign underperformance; or claims arising from your content, products or instructions.
Unless a signed agreement states a different cap, aggregate liability arising from the service will not exceed the fees actually paid to the applicable contracting entity for the affected service during the three months immediately before the event giving rise to the claim. Amounts deposited solely for pass-through advertising spend are not service fees for calculating this cap.
Suspension, termination and survival
We may suspend or terminate access immediately where reasonably necessary for security, suspected fraud, unlawful conduct, sanctions, provider instruction, non-payment, material breach, risk to another customer or protection of the service. Where appropriate, we will provide reasons and an opportunity to respond, but we may withhold details that would undermine security or legal obligations.
You may stop using the service subject to your order form, notice requirements, outstanding transactions, active campaigns and unpaid charges. Termination does not reverse completed spend or eliminate accrued rights and obligations.
Clauses concerning payment, ownership, confidentiality, data, indemnity, disclaimers, liability, disputes and any provisions intended by their nature to continue will survive termination.
Corporate transition, assignment and subcontracting
AdsXpo may later be operated by a newly incorporated, affiliated or successor entity. Subject to applicable law and your commercial agreement, the applicable BiznesXpo entity may assign the agreement, operational records and related responsibilities to that successor. Required notice will be provided and accrued contractual rights will not be reduced solely because of the transition.
We may use affiliates and vetted subcontractors to provide hosting, communications, identity, payment, support, compliance and other functions. You may not assign your agreement without our prior written consent, except as part of a genuine corporate reorganisation or sale of substantially all relevant business assets where the successor assumes your obligations.
Notices, complaints and disputes
We may send operational and legal notices to your registered email, within the workspace or through the contact details in your commercial agreement. You must keep those details current. Notices to us should be sent to legal@adsxpo.com and any address stated in your order form.
Before commencing formal proceedings, each party should give written notice describing the dispute and allow at least 30 days for good-faith resolution, unless urgent relief is necessary. The governing law, courts or arbitration process for your account will be identified in the agreement issued by the specific BiznesXpo legal entity serving you.
Changes to these Terms
We may update these Terms to reflect product, provider, legal, security or operational changes. The current version and effective date will be published here. We will provide additional notice and request renewed acceptance where a change is material or where required by law.
Continued use after the effective date of a non-material update constitutes acceptance. Where renewed acceptance is requested, workspace access may be limited until an authorised user accepts the current version.
